Product-Specific Terms and Conditions
Version: Launch Draft
Applies to: QCMD Marketing South Africa, QCMD Marketing UK, and any approved QCMD Marketing operating track, unless replaced or amended by country-specific terms.
Important: These Product-Specific Terms form part of the QCMD Marketing General Terms and Conditions.
SECTION 1
Introduction
These Product-Specific Terms and Conditions apply to the QCMD AI Website & Funnel Business Starter System, including the Basic WC Plan, Professional WC Plan, Premium WC Plan, Client Website Workspaces / SWC Workspaces, AI Business Plan Assistant Pack, AI Website Business Financial Planner, and any related onboarding, training, templates, digital resources, platform access, workflows, support, or services made available by QCMD Marketing.
By purchasing, subscribing to, accessing, activating, or using the QCMD AI Website & Funnel Business Starter System, you agree to these Product-Specific Terms and Conditions.
These Product-Specific Terms must be read together with the QCMD Marketing General Terms and Conditions, Privacy Policy, Acceptable Use Policy, Pricing Schedule, Platform Usage Rules, Data Processing terms where applicable, and any other written terms or policies issued by QCMD Marketing from time to time.
If there is a conflict between these Product-Specific Terms and the QCMD Marketing General Terms and Conditions, these Product-Specific Terms will apply to the specific product, subscription, SWC workspace, billing, platform-access, and usage issues covered here, unless QCMD Marketing states otherwise in writing.
The QCMD Marketing General Terms and Conditions continue to apply to all general matters not specifically covered in these Product-
Specific Terms.
SECTION 2
Commercial Draft and Legal Review
These terms are prepared as a commercial launch draft for operational use.
QCMD Marketing intends these terms to protect its platform, business model, customers, billing systems, intellectual property, and operational risk from launch.
These terms should still be reviewed by a qualified attorney or legal adviser, especially before wider paid advertising, large-scale onboarding, UK rollout, USD/global rollout, or high-volume customer acquisition.
Use of the product before legal review does not mean that these terms are optional. By purchasing, subscribing to, accessing, or using the product, the Website Client accepts these terms.
SECTION 3
Definitions
In these terms, the following definitions apply:
“QCMD”, “QCMD Marketing”, “we”, “us”, or “our” means QCMD Marketing South Africa, QCMD Marketing UK, or the applicable QCMD Marketing operating entity providing the product, subscription, platform access, or related service.
“Product” means the QCMD AI Website & Funnel Business Starter System and any related subscription, digital resource, workspace, add-on, upgrade, template, workflow, training material, document, system, or service.
“Website Client” or “WC” means QCMD Marketing’s direct customer who purchases access to the QCMD AI Website & Funnel Business Starter System for the purpose of building, managing, selling, or supporting website and funnel services for their own clients.
“Sub-Website Client” or “SWC” means the WC’s own customer or client. The SWC is not QCMD Marketing’s direct customer unless QCMD separately agrees in writing.
“WC Workspace” means the workspace, account, sub-account, portal, platform area, or system access made available to the WC under QCMD’s platform environment.
“SWC Workspace” or “Client Website Workspace” means a client workspace made available under the WC’s structure for the WC’s own client, subject to QCMD approval, QCMD platform rules, QCMD billing rules, and the WC’s continued compliance.
“SaaS” means Software as a Service. This means the WC receives access to online software, tools, systems, templates, workflows, platform features, and related services through QCMD’s platform environment, instead of owning the underlying software or infrastructure.
“Platform” means QCMD’s SaaS platform environment, infrastructure, systems, tools, workspaces, workflows, templates, integrations, billing systems, and related technology stack.
“Digital Products” includes PDFs, Excel workbooks, prompt packs, templates, training resources, guides, videos, links, files, downloads, and other digital resources.
“Usage-Based Services” means services or features that may create additional cost, including SMS, WhatsApp, phone services, Voice AI, bulk email, premium AI usage, domains, third-party apps, marketplace apps, external integrations, API usage, email sending, number rental, AI agent usage, conversation AI, and other paid or usage-based features.
SECTION 4
Product Structure
The QCMD AI Website & Funnel Business Starter System is a SaaS-based business starter system that gives the WC access to QCMD’s platform environment, starter workspace, templates, training, onboarding resources, business-building resources, and related tools.
The product is designed to help WCs start, structure, and operate an AI-assisted website and funnel business.
It is not a franchise.
It is not employment.
It is not a guaranteed income opportunity.
It is not a guarantee of clients, leads, sales, rankings, profits, or business results.
The WC remains responsible for building their own business, finding their own clients, serving their own clients, charging their own clients, managing their own client relationships, and complying with all applicable laws.
SECTION 5
WC and QCMD Relationship
The WC is QCMD Marketing’s direct customer.
The WC pays QCMD Marketing for setup, subscription access, approved SWC workspaces, add-ons, upgrades, usage-based services, and any other approved charges.
The WC receives access to QCMD’s SaaS environment only for as long as the WC remains active, paid, compliant, and not suspended or terminated.
The WC does not own QCMD’s platform, infrastructure, software, workflows, templates, training, systems, snapshots, technical configuration, intellectual property, or commercial model.
The WC receives a limited, revocable, non-exclusive, non-transferable licence to access and use the product according to these terms.
SECTION 6
WC and SWC Relationship
The SWC is the WC’s client.
The SWC contracts with the WC.
The SWC pays the WC.
The SWC does not pay QCMD directly.
The SWC has no direct contractual relationship with QCMD Marketing unless QCMD agrees separately in writing.
QCMD does not owe the SWC direct support, refunds, service delivery, uptime promises, custom work, migration support, damages, platform access, or direct communication.
QCMD makes the SWC Workspace available only through the WC’s account and only subject to QCMD approval, QCMD billing rules, QCMD platform rules, and the WC’s continued compliance.
The WC remains fully responsible for the SWC relationship, including pricing, delivery promises, communication, client support, billing, refunds, disputes, project scope, client expectations, data permissions, and compliance.
The WC must not represent the SWC as QCMD’s customer unless QCMD confirms this in writing.
SECTION 7
SWC Workspace Responsibility
Each approved SWC Workspace is made available under the WC’s responsibility.
The WC is responsible for paying QCMD the applicable SWC Workspace fee for each active SWC Workspace, whether or not the SWC has paid the WC.
The WC must make this clear in their own agreement or communication with the SWC.
The WC must not activate, request, promise, or sell an SWC Workspace unless the WC understands and accepts that the WC remains responsible to QCMD for the monthly SWC Workspace fee.
QCMD may require the WC to complete a Client Website Workspace / SWC Workspace request form before any SWC Workspace is approved or activated.
QCMD may approve, reject, delay, suspend, restrict, or terminate any SWC Workspace request at its discretion.
SECTION 8
Pricing and Fees
The current launch pricing is set out in QCMD’s pricing schedule and may include:
Setup and Entry Fee: R995 once-off
Basic WC Plan: R297 per month from Day 15
SWC Workspace Fee: R199 per active SWC Workspace per month after QCMD approval
AI Business Plan Assistant Pack: R147 once-off
AI Website Business Financial Planner: R247 once-off
Professional WC Plan: R959 per month
Premium WC Plan: R1,595 per month
QCMD may update pricing, plan names, plan features, usage limits, SWC Workspace fees, add-on fees, upgrade fees, white-label fees, domain support fees, AI fees, communication fees, third-party fees, and other charges with notice where required or where practical.
New customers are bound by the pricing shown at checkout.
Existing customers may be moved to updated pricing after notice, or may cancel before the updated pricing takes effect where required by law.
BUTTON / SECTION 9
Setup Fee and 14-Day Included Access
The R995 setup and entry fee is an upfront fee that allows the WC to enter the system, receive onboarding, receive digital resources, begin platform setup, and receive the first 14 days of included starter workspace access.
The R995 fee is not a monthly subscription.
The R995 fee is not refundable after purchase.
The 14-day included access period does not mean the WC has no future billing obligation.
The WC must provide valid payment details at checkout for the Basic WC Plan subscription.
The Basic WC Plan subscription starts from Day 15 unless QCMD agrees otherwise in writing.
SECTION 10
SaaS Subscription and Billing Authorisation
The WC understands that the QCMD AI Website & Funnel Business Starter System is provided as a SaaS-based product.
By purchasing or subscribing, the WC authorises QCMD to charge the WC’s approved payment method for:
Basic WC Plan fees
Professional WC Plan fees
Premium WC Plan fees
approved SWC Workspace fees
approved add-ons
approved upgrades
approved usage-based services
approved third-party charges
any other fees accepted by the WC
The WC must keep valid payment details active and up to date.
If the WC removes, cancels, blocks, disputes, or fails to maintain valid payment details, QCMD may restrict, suspend, or terminate access.
The WC’s access to the platform depends on active billing, compliance, and continued account approval.
SECTION 11
Payment Failure, Reminders, Restriction, and Suspension
If the Day 15 Basic WC Plan subscription payment fails, QCMD may send a reminder and create an internal billing alert.
If payment remains unresolved, QCMD may send a second reminder between Day 16 and Day 17.
From Day 18, QCMD may restrict access.
From Day 21, QCMD may suspend access.
QCMD may suspend, restrict, or terminate earlier if there is fraud, abuse, misuse, chargeback, security risk, reputational risk, platform abuse, unlawful conduct, breach of terms, or any other risk to QCMD.
QCMD may suspend:
the affected WC Workspace,
the affected SWC Workspace,
multiple SWC Workspaces,
the WC account,
or all related access,
depending on the payment issue, risk, breach, or account status.
QCMD is not required to keep unpaid workspaces active.|
SECTION 12
SWC Workspace Billing and Suspension
Each approved SWC Workspace is billed to the WC at the applicable monthly SWC Workspace fee.
The current SWC Workspace fee is R199 per active SWC Workspace per month, unless QCMD updates the pricing schedule.
If the WC fails to pay for an SWC Workspace, QCMD may suspend the affected SWC Workspace.
QCMD may also suspend the WC Workspace and other related SWC Workspaces if the issue affects the WC’s account standing, billing compliance, platform risk, or contractual compliance.
The WC remains responsible for all SWC Workspace fees until the SWC Workspace is cancelled, suspended, or terminated according to QCMD’s process.
The WC must not promise the SWC that a workspace will remain active if the WC fails to pay QCMD.
SECTION 13
Refund Policy
All purchases are digital, platform-based, setup-based, subscription-based, or access-based.
The R995 setup and entry fee is non-refundable after purchase.
The R297 Basic WC Plan subscription is non-refundable for any billing period already started.
Professional and Premium WC Plan subscriptions are non-refundable for any billing period already started.
The R199 SWC Workspace fee is non-refundable once the SWC Workspace is active, prepared, provisioned, reserved, or made available.
The AI Business Plan Assistant Pack is non-refundable once purchased, accessed, delivered, or made available.
The AI Website Business Financial Planner is non-refundable once purchased, accessed, downloaded, delivered, or made available.
QCMD may consider exceptions only where required by law or where QCMD agrees in writing.
SECTION 14
Chargebacks and Payment Disputes
If the WC opens a chargeback, payment dispute, reversal, bank dispute, false-card issue, or blocks a valid recurring payment, QCMD may immediately restrict, suspend, pause, or terminate:
the WC account,
the WC Workspace,
pending activation,
resource access,
support access,
SWC Workspace activation,
active SWC Workspaces,
and any related services.
QCMD may recover chargeback fees, admin fees, collection costs, unpaid subscription fees, unpaid SWC Workspace fees, usage-based charges, legal costs, and any other losses caused by the payment dispute.
A chargeback does not cancel the WC’s obligation to pay for services already provided, digital products already delivered, access already granted, work already started, or workspaces already activated.
Reinstatement after a chargeback is at QCMD’s discretion and may require full settlement of outstanding amounts and additional admin or reinstatement fees.
BUTTON / SECTION 15
Usage-Based Services and Exclusions
The following are not included by default unless separately approved, activated, and paid for:
SMS
phone services
Voice AI
bulk email beyond approved limits
premium AI usage
domains
third-party apps
marketplace apps
external integrations
paid automations
API usage
email sending costs
number rental
AI agent usage
conversation AI
advanced workflow actions
any other usage-based or third-party cost
QCMD may require prepaid wallet funding, valid card billing, spending limits, usage limits, manual approval, or separate written approval before enabling usage-based services.
The WC is responsible for any usage-based charges they request, activate, authorise, use, or allow their users or clients to use.
No usage-based service is unlimited unless QCMD confirms this in writing.
BUTTON / SECTION 16
Domains
The WC or SWC is responsible for purchasing, renewing, managing, and paying for their own domains.
A domain may be purchased through QCMD’s platform environment where this feature is enabled, or it may be registered and hosted externally.
QCMD may provide Loom videos, onboarding guidance, or general instructions for domain setup.
Domain guidance does not make QCMD responsible for domain ownership, expiry, DNS changes, registrar issues, transfer problems, domain disputes, email disruption, domain lock, or loss of access.
QCMD is not liable for domain expiry, incorrect DNS settings, registrar lock, third-party domain disputes, DNS downtime, email disruption, or failure by the WC or SWC to renew or manage a domain.
Any advanced domain support, migration, troubleshooting, or technical setup may require a separate paid agreement.
BUTTON / SECTION 17
Email Sending, Deliverability, and Spam
The WC may be allowed to send email through the platform, subject to QCMD’s rules, technical limits, reputation controls, and applicable laws.
The WC must not use the platform for spam, purchased lists, scraped lists, unlawful marketing, misleading claims, fake sender identities, phishing, abusive campaigns, unsubscribed contact blasting, or any email activity that damages QCMD’s sending reputation or creates legal risk.
The WC must comply with applicable email, privacy, consent, anti-spam, and marketing laws, including POPIA, UK GDPR, PECR, CAN-SPAM, and any other relevant laws depending on customer location.
QCMD may suspend or restrict email sending if spam risk, complaints, bounce issues, deliverability risk, platform reputation risk, unlawful marketing, or abuse is suspected.
QCMD may recommend or require dedicated sending domains, domain authentication, approved sender setup, or dedicated IP arrangements where appropriate.
BUTTON / SECTION 18
AI Usage and Generated Content
The product may include AI-assisted tools, prompts, workflows, content support, or AI-generated outputs.
AI-generated content may be inaccurate, incomplete, outdated, unsuitable, misleading, offensive, or legally risky.
The WC must review, edit, approve, and check all AI-generated content before using it.
The WC is responsible for all content used for their own business and for their SWCs.
QCMD is not liable for AI-generated errors, claims, omissions, legal mistakes, copyright issues, regulatory breaches, offensive content, or professional advice reliance.
AI output must not be treated as legal, financial, tax, medical, investment, compliance, or professional advice.
The WC must obtain professional advice where required.
BUTTON / SECTION 19
No Income, Client, or Business Result Guarantee
QCMD does not guarantee that the WC will make money, get clients, create a successful business, generate leads, rank on search engines, make sales, receive enquiries, or achieve any specific business result.
Any examples, projections, templates, demonstrations, earnings scenarios, or planning models are for educational and planning purposes only.
The WC’s results depend on their own effort, consistency, pricing, marketing, sales ability, market demand, client relationships, delivery quality, support, and business management.
The WC must not make income guarantees, client guarantees, lead guarantees, ranking guarantees, sales guarantees, or false QCMD-backed promises to SWCs.
BUTTON / SECTION 20
WC Marketing and Client Promises
The WC is responsible for how they market, sell, price, and deliver services to SWCs.
The WC must not mislead SWCs about QCMD, the platform, ownership, export rights, pricing, support, results, AI capabilities, website performance, rankings, income, leads, or business outcomes.
The WC must not promise that QCMD will support the SWC directly.
The WC must not promise that QCMD is responsible for the SWC’s project, website, funnel, marketing, billing, refund, or support.
The WC is responsible for having their own agreement, scope, terms, refund policy, and service process with SWCs.
BUTTON / SECTION 21
Representation and Branding Rules
The WC may not describe themselves as QCMD staff, agents, franchisees, legal partners, official representatives, certified providers, resellers, or affiliates unless QCMD gives written permission.
Where approved or where platform branding appears, the phrase Powered by QCMD Marketing may be used.
QCMD branding may remain visible by default inside the platform, interface, resources, emails, workspaces, pages, or system areas.
White-labelling may be available only at an additional price and only if QCMD approves it.
White-labelling is a branding permission only. It does not transfer ownership of QCMD’s platform, technology, templates, snapshots, workflows, training, systems, or intellectual property.
The WC must not misrepresent ownership of QCMD technology, systems, infrastructure, platform, resources, or intellectual property.
BUTTON / SECTION 22
Intellectual Property
QCMD owns or controls its brand, platform structure, snapshots, templates, training, workflows, prompt packs, documentation, system logic, resources, design frameworks, onboarding materials, product assets, and related intellectual property.
The WC owns their own business name, their own content, their own client relationship, and content they independently create.
The SWC owns or licenses their own business content, logos, images, brand materials, and other materials depending on the agreement between the WC and SWC.
The WC receives a limited, revocable, non-exclusive, non-transferable licence to use QCMD materials only within the approved QCMD ecosystem and only for the permitted purpose.
The WC may not copy, resell, redistribute, publish, clone, export, sell, give away, sublicense, or commercialise QCMD materials outside the approved use.
This includes the AI Business Plan Assistant Pack, prompts, training resources, templates, guides, videos, workflows, systems, and documents.
BUTTON / SECTION 23
Support Scope
QCMD support is limited to reasonable onboarding guidance, platform access guidance, starter setup guidance, training/resource guidance, and support route guidance.
Support may be provided through email, WhatsApp, helpdesk, group onboarding, platform messages, training materials, or other channels chosen by QCMD.
Unless separately agreed and paid, support does not include:
custom builds,
done-for-you client work,
copywriting,
advanced design work,
domain troubleshooting beyond basic guidance,
third-party integrations,
advanced automations,
emergency support,
legal advice,
financial advice,
tax advice,
SWC support,
client dispute handling,
client project management,
or support outside QCMD’s reasonable scope.
The WC remains responsible for supporting their own SWCs.
BUTTON / SECTION 24
SWC Support
SWCs must contact the WC for support.
SWCs may not contact QCMD directly by default.
QCMD may assist with SWC-related issues only through the WC, within the agreed WC support limits, or if QCMD separately agrees in writing.
QCMD is not responsible for resolving disputes between WCs and SWCs.
QCMD is not responsible for SWC refunds, SWC project expectations, SWC service promises, SWC deliverables, or SWC complaints unless QCMD separately agrees in writing.
BUTTON / SECTION 25
Platform Dependency and Third-Party Services
QCMD uses third-party platforms, tools, software, infrastructure, payment systems, email systems, hosting systems, domain systems, AI systems, and integrations.
Outages, errors, delays, pricing changes, policy changes, feature removals, API failures, service interruptions, and technical limitations may occur.
QCMD does not guarantee uninterrupted access, uninterrupted uptime, uninterrupted email sending, uninterrupted automations, uninterrupted AI features, or uninterrupted third-party service availability.
QCMD is not liable for third-party downtime, technical errors, supplier failures, pricing changes, feature removals, API failures, policy changes, service interruptions, data delays, or system limitations.
QCMD may change platform configuration, features, access, workflows, limits, templates, and technical structure when needed to protect the platform, maintain service, reduce risk, or adapt to supplier changes.
BUTTON / SECTION 26
Data Protection and Privacy
The WC must comply with applicable privacy, data protection, marketing, consent, and customer communication laws.
This may include POPIA in South Africa, UK GDPR and the Data Protection Act in the United Kingdom, and other applicable laws depending on where the WC, SWC, leads, customers, or data subjects are located.
QCMD may process personal information as platform provider, processor, sub-processor, operator, or service provider depending on the applicable law and relationship.
The WC is responsible for obtaining lawful consent or legal basis, giving privacy notices, managing SWC data lawfully, handling data requests, and ensuring lawful marketing communication.
The WC must not upload unlawful, scraped, purchased, unauthorised, or improperly obtained data.
QCMD is not responsible for the WC’s unlawful collection, upload, use, storage, marketing, or processing of SWC or lead data.
QCMD’s Privacy Policy, Data Processing terms, and related privacy documents may apply in addition to these terms.
BUTTON / SECTION 27
Security and Account Responsibility
The WC is responsible for keeping login details, passwords, team access, user permissions, and account credentials secure.
The WC must not share access irresponsibly or allow unauthorised users to access the platform.
The WC is responsible for activity under their account, users, team members, contractors, or authorised representatives.
QCMD may suspend or restrict access where it suspects unauthorised access, compromised credentials, security risk, misuse, fraud, or harmful activity.
The WC must notify QCMD immediately if they suspect unauthorised access or account compromise.
BUTTON / SECTION 28
Plan Limits and Fair Use
All WC Plans and SWC Workspaces are subject to user, contact, feature, storage, communication, AI, automation, support, and fair-use limits published by QCMD from time to time.
The Basic WC Plan may allow the WC to request up to 100 SWC Workspaces, but each active SWC Workspace remains separately billed and subject to QCMD approval.
Professional and Premium plans may include higher limits or expanded capacity, subject to QCMD’s pricing schedule, approval, fair-use rules, and platform rules.
Initial starter limits may include limits such as 10 users and 3,000 contacts unless QCMD confirms different limits in writing or in the relevant plan schedule.
QCMD may set, change, reduce, increase, or enforce limits based on plan type, billing status, fair use, security, platform risk, abuse prevention, technical capacity, support burden, supplier changes, or commercial changes.
QCMD may restrict, throttle, suspend, require upgrade, require prepaid wallet funding, or terminate access if usage becomes unreasonable, excessive, unlawful, abusive, harmful, or commercially unsustainable.
BUTTON / SECTION 29
Prohibited Conduct, Industries, and Content
QCMD may refuse, restrict, suspend, or terminate any website, funnel, workspace, campaign, client, content, or account involving:
illegal products,
hate speech,
violence,
weapons,
drugs,
scams,
misleading financial schemes,
medical misinformation,
political misinformation,
unlawful gambling,
adult or high-risk content,
fraudulent investment offers,
phishing,
malware,
privacy abuse,
harassment,
defamation,
unlawful marketing,
or any content that creates legal, reputational, compliance, platform, supplier, or payment risk for QCMD.
QCMD may decide at its discretion whether an account, workspace, client, campaign, or content creates unacceptable risk.
BUTTON / SECTION 30
Affiliate and Referral Rules
The WC may sell website and funnel services to SWCs.
The WC may not recruit other WCs, present themselves as a QCMD affiliate, or claim referral or commission rights unless QCMD separately accepts the WC into an official QCMD affiliate or referral programme in writing.
The QCMD Affiliate Marketing Program, if applicable, is separate from the QCMD AI Website & Funnel Business Starter System.
No referral commission, affiliate commission, or recruitment right is included unless QCMD confirms this in writing.
BUTTON / SECTION 31
Communication Consent
The WC agrees that QCMD may contact them by email, WhatsApp, SMS, phone, platform notifications, support messages, billing notices, and operational alerts.
This may include onboarding, billing, failed payments, suspension warnings, support messages, security notices, platform changes, service updates, resource delivery, legal notices, and operational updates.
The WC must ensure their contact details remain accurate and up to date.
A notice sent to the WC’s last known email address, phone number, WhatsApp number, or platform account may be treated as received unless the law requires otherwise.
BUTTON / SECTION 32
Taxes
Unless expressly stated otherwise, all prices are quoted in South African Rand and are exclusive of VAT, sales tax, withholding tax, bank charges, currency conversion fees, and any other taxes, duties, levies, or charges that may apply.
QCMD Marketing is not currently VAT registered in South Africa and will not issue VAT invoices unless and until it is legally required and registered to do so.
If QCMD becomes VAT registered or becomes required to charge VAT, sales tax, or any similar tax, QCMD may add the applicable tax to prices or adjust pricing accordingly.
For UK, USD, or global tracks, taxes may vary depending on the customer’s location, billing entity, applicable law, and the relevant QCMD operating entity.
Customers are responsible for any taxes, duties, levies, withholding taxes, currency conversion fees, and bank charges applicable to their purchase unless QCMD is legally required to collect them.
BUTTON / SECTION 33
Termination
QCMD may suspend, restrict, or terminate access immediately for:
non-payment,
chargeback,
fraud,
abuse,
spam,
unlawful content,
breach of terms,
reputational harm,
platform misuse,
security risk,
harassment of staff,
reselling outside permitted use,
misleading SWCs,
unlawful marketing,
breach of usage rules,
misrepresentation of QCMD,
or any conduct that creates risk for QCMD, its platform, its suppliers, its customers, or its reputation.
The WC may cancel according to the cancellation process published by QCMD.
Cancellation does not cancel amounts already owed, fees already incurred, digital products already delivered, billing periods already started, or SWC Workspace fees already due.

Effect of Suspension or Termination
After suspension or termination, the WC may lose access to the WC Workspace, SWC Workspaces, resources, training, platform tools, automations, workflows, websites, funnels, support, and related services.
QCMD is not required to keep unpaid workspaces active.
QCMD is not required to provide migration, export, or technical assistance to unpaid, suspended, or terminated accounts.
The WC may request reasonable export of available data within a limited period only if:
all fees are paid,
the account is not blocked because of fraud, abuse, unlawful conduct, or security risk,
export is technically possible,
and QCMD agrees to the process.
QCMD may retain, delete, restrict, or archive data according to applicable law, technical limits, internal policies, and platform requirements.

Migration and Website Ownership
Websites, funnels, pages, workflows, forms, automations, templates, and workspaces may be built inside QCMD’s SaaS ecosystem.
They may not be exportable or transferable like a WordPress website.
The WC must not promise SWCs that assets can automatically be exported, transferred, migrated, or moved to another platform.
The SWC may have access to their own workspace or project area where approved, but the workspace remains part of QCMD’s platform ecosystem and remains subject to QCMD’s access, billing, suspension, technical, and usage rules.
Platform assets may be tied to QCMD’s ecosystem.
Migration is not guaranteed.
Exports may be limited.
QCMD may assist with migration only if separately agreed and paid.
Unpaid accounts cannot demand migration support.
The WC must clearly explain to SWCs that the system is built on the QCMD ecosystem and that transfer or export rights are limited by the platform’s technical structure and account status.

Limitation of Liability
To the maximum extent permitted by law, QCMD will not be liable for indirect, incidental, special, consequential, punitive, reputational, commercial, or loss-of-profit damages.
QCMD will not be liable for loss of income, loss of clients, loss of leads, loss of revenue, loss of goodwill, loss of opportunity, loss of data, loss caused by third-party platforms, AI-generated content, email deliverability, domain issues, payment failures, SWC disputes, WC marketing claims, or WC business performance.
QCMD’s total liability, if any, will be limited to the amount actually paid by the WC to QCMD for the affected service during the one-month period immediately before the event giving rise to the claim, unless applicable law requires otherwise.

Indemnity
The WC agrees to indemnify and hold QCMD harmless against claims, losses, damages, costs, complaints, penalties, legal fees, chargebacks, client disputes, regulatory issues, third-party claims, data claims, SWC claims, and platform claims arising from:
the WC’s business,
the WC’s services to SWCs,
the WC’s marketing,
the WC’s promises or representations,
the WC’s breach of these terms,
the WC’s unlawful conduct,
the WC’s misuse of the platform,
the WC’s data handling,
the WC’s AI-generated content,
the WC’s spam or unlawful marketing,
the WC’s SWC disputes,
or any action by the WC’s users, staff, contractors, agents, or clients.

Changes to These Terms
QCMD may update these terms, pricing schedules, plan limits, product rules, usage rules, policies, platform rules, or add-on terms from time to time.
QCMD may notify WCs by email, platform notice, WhatsApp, website update, checkout update, or other reasonable communication method.
Continued use of the product after updated terms become effective means the WC accepts the updated terms.
If the WC does not agree to updated terms, the WC must stop using the product and cancel according to QCMD’s cancellation process.

Governing Law and Dispute Resolution
Unless a country-specific schedule states otherwise, these terms are governed by the laws of South Africa.
The parties agree to first attempt to resolve disputes in good faith through written communication.
QCMD may suspend access while a billing, compliance, risk, or platform dispute is being investigated.
QCMD may take urgent steps to protect its platform, intellectual property, customers, data, payment systems, reputation, or legal position.
Country-specific schedules may apply to South Africa, the United Kingdom, or global/USD operations where needed.

QCMD may issue country-specific schedules for different operating tracks, including:
South Africa Schedule
United Kingdom Schedule
USD / Global Schedule
If a country-specific schedule applies, it may include additional legal, tax, consumer, privacy, payment, dispute, or compliance requirements.
Unless a country-specific schedule changes a clause, these master Product-Specific Terms continue to apply.

I accept the subscription, billing, refund, suspension, usage, SWC responsibility, and no-guarantee terms.

You pay QCMD the R995 setup and entry fee.

If you request and activate client workspaces for your own clients, each approved active SWC Workspace is billed to you at R199 per month.
Your SWCs are your clients.
They pay you.
They do not pay QCMD directly.

You remain responsible for what you charge them, what you promise them, what you deliver to them, and how you support them.

QCMD may suspend access if payments fail, terms are breached, usage is abused, chargebacks happen, or the platform is placed at risk.

You must use the system legally, responsibly, and honestly.
